Customer: You and Your Company

Consumer: Any person who buys goods from us for purposes which are outside his trade, business or profession

Goods: The hardware and services sold by us to you including packaging, manuals and any other ancillary components or documents

Conditions: Means the terms and conditions of sale set out in this document and any special terms and conditions agreed in writing by us

Terms of the contract

  1. If you place an order for goods as a consumer, these terms and conditions apply to your order and to the contract between you and us
  2. We may change these terms and conditions at any time. Any changes will apply to any orders that you place after the time that we update the terms and conditions
  3. No contract exists between you and us until we notify you that we have accepted your order and delivered the goods
  4. We are not obliged to accept your order
  5. All orders placed are subject to acceptance by us by delivery of the goods to you at which point a legally binding contract is constituted between us. The processing of your payment and acknowledgement of your order does not constitute legal acceptance of your order
  6. We reserve the right not to deliver the goods ordered and to offer a refund or an alternative product.
  7. If we fail to enforce any of these conditions, that does not mean that we have waived any of our rights and we retain the right to enforce any of these conditions at any time

The conditions which apply to your purchase of goods from us

a) Making an agreement to purchase our goods

  1. The market in the goods is such that the specification, description and price of individual goods can change
  2. The invitation to you to order goods from us is not an offer by us to sell to you goods of the specification and description at the price indicated
  3. Your order is an offer to us to buy the goods of the specification and description at the price indicated
  4. Wherever possible we will accept your order to buy the goods of the specification and description at the price indicated by e-mail and in which case there will be a concluded agreement between you and us
  5. Wherever it is not possible to accept your order to buy the goods of the specification and description at the price indicated we will advise you by e-mail and offer to sell you the goods of the specification and description at the price stated in the e-mail and will state the period for which the offer or the price remains valid
  6. You may accept our offer by e-mail within the period stated and in which case there will be a concluded agreement between us
  7. The price payable for the goods you order is as set out on SWTS Ltd website at the time you place your order, plus any charges for delivery as set out in the order form
  8. The prices we quote are in pounds sterling and include VAT/taxes unless otherwise stated
  9. Occasionally an error may occur with our eBay site and goods may be incorrectly priced in which case we will not be obliged to supply the goods at the incorrect price
  10. Payment must be made in full and with cleared funds and is taken when the goods are ready for dispatch
  11. Payment for goods shall be deemed as acceptance of these terms and conditions
  12. For zero rated VAT transactions, please contact us via email before placing and order as we do require payment via direct bank transfer

b) Delivery of the goods

  1. The goods shall be delivered by us or our supplier to your address and the risk in the goods shall pass to you upon such delivery taking place
  2. You should note that our carrier requires immediate notice to be given of any loss or damage to goods and you should inspect the goods upon receipt and report any loss or damage to the carrier immediately
  3. Insofar as you report any damage to goods to us within 24 hours of delivery we will refund the price and carriage or replace the goods at no cost to you
  4. In respect of any damage to goods reported to us after 24 hours of delivery we shall require proof from you that the goods were damaged before receipt by you
  5. If you give us an incorrect or incomplete delivery address and as a result we try but are not able to make the delivery, we may treat the order as cancelled by you. In this case we will refund the price of the goods, but we shall be entitled to keep the amount you paid for delivery
  6. If some of the goods you ordered are not available we may deliver part of your order. We will deliver the rest of the order as soon as possible afterwards
  7. Our standard delivery uses a recognised international carrier. We will always require an authorised signature when delivering goods to you. In the unlikely event that you have not received all the goods within the expected delivery time, please notify us immediately
  8. Information regarding delivery services and costs to different locations in the UK and overseas may be seen in our separate delivery information. Telephone contact information is needed by the carrier for all orders so they may contact you directly if they have a problem delivering your order. Tracking of your order, once dispatched will be sent to you automatically
  9. We will not be liable for any delay in delivering the goods which is due to events or circumstances beyond our reasonable control, or for any business losses
  10. The carrier will deliver larger or heavier items to the ground floor at the delivery address. You must make your own arrangements to re-locate the item
  11. We will try to deliver the goods to you within the time estimated for delivery
  12. If we are unable to do so, we reserve the right to deliver them within 30 days beginning with the day after the day of the agreement between us
  13. If we are unable to deliver the goods to you within 30 days beginning with the day after the day of the agreement:
    1. we shall inform you by e-mail;
    2. we shall make a further offer to you by e-mail to sell you the goods of the specification and description;
    3. at the price stated in the e-mail and will state the period for which the offer or the price remains valid;
    4. unless you accept the offer we will reimburse any sum paid by you or on your behalf under or in relation to the agreement within a period of 30 days beginning with the day after the day on which the time for delivery expired

c) Returns, Cancellations and Refunds

  1. Goods damaged in transit must be reported to us within 24 hours of delivery. If the damage to the packaging is obvious on delivery it is advisable to make a note of the damage on the carrier’s delivery note. This helps avoid the possibility of dispute as to responsibility for damage
  2. Goods faulty on arrival must be reported to us as soon as possible after delivery. We recommend that goods are turned on as soon as possible after delivery to check that they are not "dead on arrival" and "boot up" correctly. These problems occur in a very small number of machines across the industry and in all brands. Delays in checking, for any reason, may cause unnecessary delays in correcting the problem quickly
  3. For faults developing within a manufacturers warranty period, other than the "dead on arrival" items mentioned above, please see section g) of Terms and Conditions, "Warranties and Guarantees"
  4. You are under a statutory duty to take reasonable care of the goods. All goods damaged in transit or faulty on arrival must be returned in all the original packaging and with all the original accessories and documentation. We will advise on the best way to either rectify the fault or return these goods, at our expense, and will issue a refund or send a replacement as soon as the goods are received by us and the damage or fault is assessed
  5. The rights of cancellation set out below apply to any agreement between you and us save insofar as the agreement is in respect of computer software if it is unsealed by you
  6. You may cancel by giving us notice in any of the following ways:
    1. by a notice in writing which you leave at our address (given above);
    2. by a notice in writing which you send by post to our address (given above);
    3. by facsimile to our business facsimile number (given above);
    4. by electronic mail to our electronic mail address (given above);
      and the notice shall operate to cancel the agreement between us.
  7. If you cancel the agreement:
    1. you must return the goods to us at the address given above;
    2. the goods must be returned to us complete (please note the definition of goods given above);
    3. you are responsible for the cost of returning the goods to us at the address given above;
    4. you are under a duty to take reasonable care of the goods (including reusable packaging, manuals etc) until they are returned to us;
    5. you are under a duty to take reasonable care to see that they are received by us and not damaged in transit;
  8. Cancellation of your order can be made within seven working days (Monday to Friday, excluding Bank Holidays) of delivery and returned for a full refund. We will refund the price you have paid for the goods, not including the cost of delivery. It is your responsibility to give notice of your wish to cancel within this cancellation period by email, fax or letter
  9. The cancelled goods must be unused and returned in their original condition i.e all seals intact, in all their original undamaged packaging and with all the original accessories and documentation, at your expense and, for your own protection, by a recorded delivery service. If the goods are not returned in a fully saleable condition and with all the original packaging and the original associated items then we reserve the right to refuse a refund or to deduct a reasonable amount equal to the consequent discounted re-sale value
  10. We do not accept returns without a valid RMA or returns reference number issued when the customer contacts us regarding a return and we will not be responsible in any way for returned goods without an RMA
  11. A refund will usually reach your payment account within thirty working days. Timing will depend on the speed of processing by the account company
  12. We do not accept the return of hardware which have been opened with the seal broken which have been registered in the customers name with the manufacturer, or not restored to factory setting, unless the item is faulty. We will not refund for damaged goods except where damages occur in transit to you or for goods not supplied by us, nor will be responsible in any way for goods not supplied by us
  13. All returned goods are tested and if they are found not to be faulty or the fault is related to damage not reported at the time of delivery we will return the item to you at your expense

d) Our right of cancellation

If for reasons beyond our reasonable control, including but not limited to an inability or failure on the part of the manufacturers or suppliers of the goods to supply the goods to us, we are unable to supply the goods to you, we may cancel the agreement at any time before the goods are delivered by giving notice to you. We shall promptly repay to you any sums paid by you or on your behalf under or in relation the agreement. We shall not be liable for any other loss or damage whatever arising from such cancellation.

f) Product Description and Illustration

  1. The information and illustrations on the website are for general guidance only. We would recommend that you refer to the manufacturers’ website if in any doubt. Please read all manuals and safety instructions provided with our goods, and follow them carefully at all times
  2. Images of goods on our website are for illustrative purposes only and may differ slightly from the actual goods

g) Warranties and Guarantees

  1. All our goods come with a manufacturers warranty. The terms and conditions of these warranties will vary between manufacturers and within the product ranges of certain manufacturers. These terms and conditions of warranty provide information on period or duration, components covered, arrangements for correcting faults, countries covered by the warranty, and so on
  2. We recommend that you check on the manufacturer’s website for details of warranties
  3. To expedite repair under the terms of the warranty or to enquire about matters relating to the warranty please contact the manufacturer directly. They are in the best position to deal with a problem quickly and efficiently. Contact details are provided in the warranty document and are usually also on the manufacturers website
  4. Goods may be intended for use in the UK and we make no guarantees that the goods are suitable for use outside the UK, or comply with any laws, regulations or standards of any jurisdiction outside the UK

h) Force majeure

We shall not be liable for any failure to perform, or delay in performing, any of our obligations under the contract if and to the extent that the failure or delay is caused by circumstances beyond our control.

i) Limitation of liability

Nothing in these Terms of Business is intended to affect your statutory rights. Our liability to you will always be limited to a full refund of the goods purchased. We will not compensate for delivery delays or failures. Our liability to you specifically excludes compensation for indirect or consequential loss or damage however it arises

j) Statutory rights

  1. Your right of cancellation is in addition to your other statutory rights
  2. The after sales service and guarantees for the return of goods by you to us mentioned below do not affect your statutory rights

This contract is subject to the law of England and Wales.

All disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any part of these terms and conditions shall be found to be unlawful, it shall not affect the validity or enforceability of the remainder of the conditions.
